Terms of Use

These Terms of Use ("Terms") govern access to and use of the Doc2Bid website, applications, and related services (collectively, the "Service") operated by Doc2Bid ("Doc2Bid," "we," "us," or "our"). By accessing or using the Service, you ("you," "your," or "User") agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. Description of the Service

Doc2Bid is a tool for the construction and contracting industry that processes subcontractor bid documents. The Service allows Users to upload, parse, organize, compare, and extract data from bid documents and related construction materials. Specific features may change over time at our discretion.

The Service is intended for business and professional use in connection with construction bidding and contracting activities. It is not intended for personal, household, or consumer use.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that any registration information you provide is accurate and current. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

3. Accounts

Some features require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use. We are not liable for losses arising from unauthorized use of your account that result from your failure to safeguard your credentials.

4. Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. Permitted uses include:

  • Uploading bid documents and related construction files that you have the right to submit.
  • Processing, parsing, and extracting data from those documents.
  • Comparing, organizing, and exporting bid information for your own contracting and procurement activities.
  • Sharing outputs within your organization or with parties to whom you are authorized to disclose the information.

5. Prohibited Use

You agree not to:

  • Upload documents you do not have the legal right to upload, including confidential or proprietary documents belonging to third parties without authorization.
  • Use the Service to violate any applicable law, regulation, or contractual obligation, including bid-rigging, collusion, antitrust violations, or fraudulent procurement practices.
  • Upload malware, viruses, or any code intended to disrupt, damage, or gain unauthorized access to the Service or other systems.
  • Reverse engineer, decompile, scrape, or attempt to extract the source code or underlying models of the Service, except to the extent permitted by law.
  • Resell, sublicense, or commercially exploit the Service without our written authorization.
  • Use the Service to develop a competing product.
  • Interfere with the operation of the Service or attempt to circumvent usage limits, security measures, or access controls.

We may suspend or terminate access for violation of this section.

6. User Content and Uploaded Documents

"User Content" means any documents, files, data, or other materials you upload to or generate through the Service.

You retain all ownership rights you hold in your User Content. We do not claim ownership of your User Content.

By uploading User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, parse, and display that content solely for the purpose of operating and providing the Service to you. This license exists only to allow us to deliver the Service and ends when your User Content is deleted, subject to the retention terms below.

You are solely responsible for your User Content and represent that you have all rights necessary to upload it and grant the license above.

7. How We Collect and Use Data

This section summarizes our data practices. Our full Privacy Policy is available at iubenda.com/privacy-policy/45234118 and is incorporated into these Terms by reference. In the event of a conflict between this section and the Privacy Policy, the Privacy Policy controls.

Data we collect:

  • Account and contact information: name, email address, company name, and similar details you provide.
  • Uploaded documents and their contents: the bid documents and files you submit for processing.
  • Usage data: log data, device and browser information, IP address, and records of how you interact with the Service.
  • Cookies and similar technologies: used to maintain sessions, remember preferences, and analyze usage.

How we use data:

  • To provide, operate, and maintain the Service, including parsing and extracting information from your documents.
  • To authenticate users and secure accounts.
  • To respond to support requests and communicate with you about the Service.
  • To monitor, analyze, and improve the performance, accuracy, and features of the Service.
  • To detect, prevent, and address security issues, fraud, and violations of these Terms.
  • To comply with legal obligations.

Use of document content for product development: We use data, including uploaded document content, to improve and develop the Service. Any data used to train or improve models is anonymized so that it cannot reasonably be used to identify you, your organization, or the specific projects in your documents.

Sharing of data: We do not sell your User Content. We may share data with:

  • Service providers who process data on our behalf (for example, hosting, storage, and analytics providers) under confidentiality obligations.
  • Authorities or third parties where required by law, subpoena, or to protect our rights, users, or the public.
  • A successor entity in connection with a merger, acquisition, or sale of assets, subject to these Terms.

8. Data Security

We implement reasonable technical and organizational measures designed to protect your data against unauthorized access, loss, or disclosure. No method of transmission or storage is fully secure, and we cannot guarantee absolute security. You use the Service at your own risk with respect to data security.

9. Data Retention and Deletion

We retain User Content and account data for one year, and data is stored on infrastructure operated through doc2bid.com. You may request deletion of your User Content or account by emailing services@doc2bid.com. We will delete or de-identify the data within 30 days of a verified request, except where retention is required for legal, accounting, security, or dispute-resolution purposes. Residual copies may persist in backups for a limited period before being overwritten.

10. Intellectual Property

The Service, including its software, design, text, graphics, and trademarks, is owned by Doc2Bid or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not use our name, logos, or branding without prior written consent.

11. Third-Party Services

The Service may integrate with or link to third-party products and services. We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is governed by their own terms.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Doc2Bid processes documents using automated methods. Extracted, parsed, or compared data may contain errors or omissions. You are responsible for independently verifying any output before relying on it for bidding, contracting, financial, or legal decisions. The Service does not provide legal, financial, or professional advice.

13. Limitation of Liability

To the maximum extent permitted by law, Doc2Bid and its officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, lost business, or lost or corrupted data, arising out of or related to your use of the Service.

Our total aggregate liability for any claim arising out of or related to the Service will not exceed the greater of $100 or the total amount you paid us for the Service in the three months preceding the claim.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Doc2Bid and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or applicable law.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

16. Changes to the Service and Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also revise these Terms from time to time. Material changes will be communicated by posting the updated Terms with a new effective date or by other reasonable notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Florida, and you consent to personal jurisdiction and venue in those courts.

These Terms constitute the entire agreement between you and Doc2Bid regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect.
